1. Acceptance of Terms

Welcome to HANDS, operated by DAISEE LLC ("Company," "we," "us," or "our"). By accessing or using the HANDS marketplace platform and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

HANDS is a dual-sided marketplace platform that connects businesses seeking services with independent contractors. We provide a platform for job posting, contractor discovery, application management, secure payments, and related marketplace services.

Important: HANDS is a technology platform. We do not employ contractors, provide services directly, or act as an employer or agent for any user. We facilitate connections between businesses and independent contractors.

3. Eligibility and Account Registration

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your account credentials
• Comply with all applicable laws and regulations

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

4. User Responsibilities

4.1 For Businesses

• Provide accurate job descriptions, budgets, and requirements
• Comply with all employment and labor laws
• Properly classify workers (employee vs. independent contractor)
• Process payments in accordance with agreed terms
• Provide safe working conditions as required by law
• Obtain necessary insurance coverage

4.2 For Contractors

• Accurately represent your skills, qualifications, and availability
• Perform services professionally and as agreed
• Maintain appropriate licenses, certifications, and insurance
• Comply with all applicable tax obligations
• Follow safety regulations and industry standards
• Complete background checks as required by businesses or law

5. Prohibited Conduct

You agree not to:

• Provide false, misleading, or fraudulent information
• Impersonate any person or entity
• Use the Services for any illegal purpose
• Harass, abuse, or harm other users
• Circumvent or manipulate our fee structure
• Scrape, copy, or reverse engineer the platform
• Upload malware, viruses, or harmful code
• Violate any applicable laws or regulations
• Discriminate based on protected characteristics
• Contact users outside the platform to avoid fees

6. Payments and Fees

HANDS processes payments through Stripe Connect. By using our payment services, you agree to Stripe's terms of service.

• Marketplace fee: 5% of the job value (subject to change with notice)
• Payment processing fees may apply (handled by Stripe)
• Payments are held in escrow until job completion
• Refunds are processed according to our Refund Policy
• You are responsible for all applicable taxes

7. Independent Contractor Relationship

Critical Distinction: Contractors on HANDS are independent contractors, not employees of HANDS or the businesses hiring them. Each contractor is responsible for:

• Their own taxes, including self-employment taxes
• Their own insurance (liability, health, etc.)
• Their own equipment and supplies
• Compliance with all applicable laws and regulations
• Proper business licenses and permits

HANDS does not control when, where, or how contractors perform their services. We provide a platform for independent business relationships.

8. Background Checks and Verification

HANDS may facilitate background checks and identity verification, but we do not guarantee the accuracy, completeness, or timeliness of such checks. Businesses are responsible for conducting their own due diligence when hiring contractors.

9. Intellectual Property

All content, features, and functionality of the HANDS platform are owned by DAISEE LLC and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you submit, but grant HANDS a license to use, display, and distribute such content as necessary to provide the Services.

10. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

HANDS does not guarantee:

• The quality, safety, or legality of services provided by contractors
• The accuracy of user profiles or information
• That contractors will complete jobs as agreed
• That businesses will pay contractors as agreed
• Uninterrupted or error-free service

Limitation of Liability: To the maximum extent permitted by law, HANDS and DAISEE LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services.

11. Dispute Resolution

Any disputes between users (businesses and contractors) should be resolved directly between the parties. HANDS may provide mediation support but is not responsible for resolving disputes.

Any disputes with HANDS shall be governed by the laws of [Your State/Jurisdiction] and resolved through binding arbitration.

12. Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the platform or other users
• Non-payment of fees
• Any reason at our sole discretion

You may terminate your account at any time by contacting us. Upon termination, you remain responsible for any outstanding obligations.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the platform. Your continued use of the Services after changes constitutes acceptance of the new Terms.
